1. 
   Warranty
   All products sold by Sterndrive Engineering (“SEI”) and API Marine (“API”) are warranted for either one (1) year or three (3) years from the date of actual purchase. Proof of purchase is required before warranty benefits are provided. These warranties are the sole and exclusive warranties by SEI/API and commence on the shipment date to the purchaser or the date of purchase from an authorized dealer.

   Warranties Limited to Manufactured Goods
   SEI offers a 3-year fault-free warranty on assembled sterndrive halves (upper and lower) and on outboard lower units (OLUs), and a 1-year limited warranty on all other parts and outboard lower unit jet drives. API offers a 1-year fault-free warranty on rotating electrical parts and a 1-year limited warranty on all other parts.
   The warranties do not apply to: third-party repairs/alterations; removal of parts; adjustments/tune-ups; normal wear and tear; accident damage; improper use/installation/service; misuse/neglect/improper maintenance; operation with unsuitable fluids, fuels, lubricants, or oils; installation errors; work by servicing dealers/mechanics; damage from acts of God or natural disasters.
   Warranties are void if identification numbers are altered/removed or if the product is disassembled without prior authorization. No coverage for racing/competitive use, rental/commercial use, intentional destruction, or applications exceeding stated horsepower limits. Warranty is void if used for the wrong application.

   Exclusion of Other Warranties
   THE ABOVE WARRANTIES AGAINST DEFECTS IN WORKMANSHIP AND MATERIALS ARE EXCLUSIVE. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE), ARE EXCLUDED. EXCEPT AS PROVIDED HEREIN, PURCHASER ACCEPTS THE PRODUCT “AS IS” AND “WITH ALL FAULTS.”
   
4. 
   Limitation of Damages
   SEI/API SHALL NOT BE LIABLE FOR LABOR CHARGES OR ANY INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. THE EXCLUSIVE REMEDY IS REPAIR OR REPLACEMENT OF DEFECTIVE PARTS/MATERIALS. SEI/API’S MAXIMUM LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID. No third party may modify or extend this warranty.
   
5. 
   Notification & Claims
   Notify SEI/API of any alleged defect within the applicable warranty period and provide all materials reasonably requested. Failure to furnish requested materials voids the warranty.
   Return & inspection: You must deliver the product (at your expense), with proof of purchase and requested documentation, to the facility designated by SEI/API. Written warranty claims must be submitted within 14 days of discovering a defect. After notice, the defective unit must be returned within 30 days as instructed, or the warranty is void.

6. 
   Terms of Purchase
   Purchaser is responsible for all freight charges on products received from or returned to SEI/API. Delinquent balances may incur a late charge of 1½% per month, plus banking charges or reasonable attorney’s fees and court costs where applicable. Refused/returned items must be new, never installed, undamaged, and are subject to freight charges and a 10% restocking fee.
   
7. 
   Venue for Enforcement
   This Agreement is made in Florida. All rights/claims must be enforced in Pinellas County, Florida. Disputes not resolved directly are subject to non-binding mediation in Pinellas County, conducted by a certified mediator, with each party paying an equal share of costs. Mediation is a condition precedent to filing any legal action.
   
8. 
   General Terms
   These warranty terms are material to the sale price and constitute the entire agreement between the parties, superseding prior negotiations or dealings. Time is of the essence. By completing the transaction, buyer and SEI/API agree to these terms.
